Terms of sale
These terms govern quotations and wholesale sales by Humber Bay Supply Co., a business name of 17355653 Canada Inc. Individual quotes may set out additional or different terms, which prevail.
1. Eligibility
We sell to registered Canadian businesses, institutions and organizations only. We may ask for a business name, Business Number or HST number, and delivery address before issuing a quote, and may decline any request at our discretion. We do not sell to consumers.
2. Quotations
Prices are not published. Each quotation is issued in writing and is valid for the period stated on it (by default 14 days). Quotations are based on the quantities, vehicle details, destination and timing supplied by the customer; changes may require a revised quote. Product descriptions, brand names and part numbers in the online catalogue are for identification and may be substituted with equivalent items on the quotation. Fitment information in the catalogue is representative; fitment is confirmed on the quotation for the vehicle details the customer supplies, and the customer is responsible for the accuracy of those details.
3. Orders
An order is formed when the customer approves a quotation in writing and we confirm the order. Case-pack and pallet quantities apply as stated on the quotation. Orders for factory-direct or container goods cannot be cancelled once production or shipment has begun.
4. Prices and taxes
Prices are in Canadian dollars and exclude applicable GST/HST, PST or QST, which are added as required by law. Freight, duties and brokerage are shown on the quotation as separate lines or included in delivered pricing where stated.
5. Payment
New accounts are prepaid or pay a deposit with the balance due before shipment. Credit terms may be offered to established accounts following a credit review. Accepted methods include EFT, wire transfer, business Interac e-Transfer, cheque and major credit cards; card payments may carry a processing fee. Overdue amounts bear interest at 1.5 percent per month (19.56 percent per year).
6. Delivery and risk
Delivery dates are estimates given in good faith. Unless the quotation states otherwise, risk in the goods passes to the customer on delivery to the carrier at our facility, and title passes on payment in full. The customer is responsible for providing accurate delivery details and suitable receiving facilities.
7. Inspection and claims
Customers must inspect goods on receipt and report shortages, transit damage or defects within five business days, with photographs and the packing slip. Claims not reported within this period are deemed accepted.
8. Returns
Defective or damaged goods reported in time are replaced or credited. Non-defective returns are accepted only by prior written agreement, in original unopened packaging, and may carry a restocking fee and return freight. Wheels on which tires have been mounted, and electrical components that have been installed, cannot be returned.
9. Warranty
Products carry the manufacturer's warranty as stated on the quotation. We coordinate warranty claims with the manufacturer on the customer's behalf. Except as required by law, we make no other warranty, express or implied, including as to merchantability or fitness for a particular purpose.
10. Compliance and resale
Customers are responsible for complying with laws applicable to their resale, installation or use of the goods, including federal motor vehicle safety standards for lighting equipment, provincial highway traffic and vehicle equipment regulations, labelling requirements and installation by qualified technicians. Customers must not make claims about the goods that are not supported by the manufacturer's documentation.
11. Limitation of liability
To the extent permitted by law, our total liability for any claim arising from a sale is limited to the amount paid for the goods concerned, and we are not liable for indirect, incidental or consequential loss, including loss of profit.
12. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. The courts of Ontario have exclusive jurisdiction.
